Purchase order terms for category Lifting platforms

Scope
The hire of access equipment is governed exclusively by the following Terms and Conditions of Order Placement and Cancelation, the Specific Access Equipment Hire Conditions, the Deutsche Messe AG Conditions for Participation and the price information. The said terms and conditions take precedence over any and all conflicting or differing terms and conditions of the Lessee.

Services offered by Deutsche Messe AG
  1. Deutsche Messe offers access equipment hire services via logistics companies acting under contract to it as service partners. The following equipment types (hereinafter referred to as Access Equipment) and working-height options are available:
    - Manual load lifter     6 m
    - Scissor lifts              6 m, 8 m, 10 m and 12 m
    - Cherry pickers        10/11 m, 15/16 m and 20/22 m

  2. Hire of equipment other than the above-described Access Equipment is possible only via Deutsche Messe's service partners and requires a separate agreement. Any such separate agreement is likewise governed by the terms and conditions specified above under "Scope of application".

  3. There are only a limited number of Access Equipment items available in each of the stated working-height classes. Consequently, the ability to fulfill hire orders is subject, among other things, to availability of the selected type of Access Equipment.


Order placement/contract formation/conditions precedent
  1. Deutsche Messe agrees to provide Access Equipment hire services via its service partners on the basis of orders submitted either electronically via shop or in hard copy using printed Order Form 5.56.
  2. Orders received after the deadline specified in our shop/on the printed order form do not give rise to any legal rights, claims or expectations regarding availability of the Access Equipment selected. 
  3. No legally binding contract for hire of the ordered Access Equipment is formed unless and until a written order confirmation is sent out by the service partner in the name and on behalf of Deutsche Messe. 
  4. A further precondition of contract formation is that the order, whether placed electronically via shop or in hardcopy via printed order form, must include confirmation that the Lessee has business liability insurance (Betriebshaftpflichtversicherung) with a sum insured of EUR 3,000,000 per occurrence of property damage or bodily injury. The Lessee must take out this insurance at its own cost and expense. Deutsche Messe can request proof of insurance in the form of the policy document.
    It is recommended that the Lessee takes out a policy that provides cover for damage to moveable, hired items of property for the duration of the rental period.
  5. When placing the order, the Lessee must designate at least one person to take delivery of the hired Access Equipment and receive training in its use. Only persons who have actually been trained by the service partner are authorized to operate the Access Equipment. Training of other persons by those who have received training from the service provider is possible only at the Lessee's own risk. The requirements which individuals must meet in order to be permitted to receive training in the use of the Access Equipment are set out in clauses 9 to 11 of the Specific Access Equipment Hire Conditions.
  6. At the time of training, the service partner is required to verify the identity of the persons trained by sighting their personal IDs or driver licenses and documenting the details in a training record. The training record must be signed by all parties involved.
  7. In the event of force majeure, disruptions or other occurrences that are not the fault of Deutsche Messe or the service partner, Deutsche Messe and the service partner will be released from their obligations to provide services hereunder.

Equipment delivery and pick-up/handover/user training

  1. Prior to delivery of the Access Equipment ordered, the service partner will contact the Lessee to arrange a time for delivery. However, delays in delivery on the part of the service partner will not give rise to any legal rights or claims on the part of the Lessee. 
  2. The service partner can deliver and unload the Access Equipment irrespective of whether or not the Lessee's display stand is staffed at the time. This has no bearing on the rental period. The Lessee's liability for the Access Equipment commences as soon as it is unloaded. Actual use of the equipment cannot take place until after the keys have been handed over.
  3. The handover of the Access Equipment with all relevant devices like keys, papers etc. must be documented in a dedicated handover record signed by all parties concerned. 
  4. The Access Equipment must be transported to and picked up from the Lessee's designated display site if the latter can be accessed by the towing vehicle used to transport the equipment. The agreed transport price does not include setting up and readying the Access Equipment on the Lessee's display site.
  5. Unless agreed otherwise between the Lessee and the service partner, the latter will retrieve the Access Equipment as soon as possible after the end of the rental period. To facilitate this, the Lessee must make the Access Equipment, including the keys, ready and available for pick-up.
  6. If delivery and/or pick-up of the Access Equipment is delayed by fault of the Lessee, Deutsche Messe will have the right to bill the Lessee for any ensuing additional costs.
  7. At the end of the rental period, the Lessee must surrender possession of the Access Equipment to the service partner at the agreed location and in the same condition it was in when the Lessee took possession of it, with due allowance made for ordinary wear and tear occasioned by the contractually agreed use of the equipment. 
  8. Unless agreed otherwise, the Lessee must surrender possession of the Access Equipment at a reasonable time during the trade fair show period or post-show take-down period so that the service partner is able to test the equipment for proper functioning and damage that same day. If the Lessee surrenders possession of the Access Equipment outside of normal hours or delivers and unloads it unannounced at the service partner's depot, he does so at his own expense and risk.

Liability
  1. The risk in the Access Equipment passes to the Lessee as soon as the equipment is delivered and unloaded. From that point on, the Lessee has a duty of safekeeping in respect of the Access Equipment and is liable for all damage caused to it. 
  2. The risk in the Access Equipment does not revert to the service partner until the equipment is duly and properly handed over to/picked up by the service partner and the service partner has signed the hand-over record. The Lessee bears all business and operational risk associated with the Access Equipment for the duration of the rental period and warrants, in particular, that the ground conditions at the site of use enable hazard-free operation of the Access Equipment. Accordingly, the Lessee agrees to indemnify Deutsche Messe on first demand from and against any third-party claims. This indemnity includes cases in which recourse is taken against Deutsche Messe under the German Environmental Damage Act (USchadG) or other comparable German or international laws unless the damage in question is caused by gross negligence or intentional misconduct on the part of the Lessee. 
  3. The Lessee is liable in full for all damage which the Lessee or the Lessee's operating personnel cause to the Access Equipment itself or to the property of others through the use of the Access Equipment. This includes liability in full for consequential damage or loss.
    In particular, the Lessee is liable for
    a) any negligently or intentionally caused accident or damage to the Access Equipment;
    b) damage to buildings or structures caused by non-observance of minimum overhead clearances;
    c) damage or loss resulting from non-observance of safety and operating requirements or failure to take adequate anti-theft measures; and
    d) damage or loss caused by unauthorized subleasing of the Access Equipment or the letting or giving of possession of the same to unauthorized persons.
  4. The Lessee is also liable for loss of use/income (Ausfallschaden) as prescribed by law.
  5. Any claims by the Lessee against Deutsche Messe as the Lessor must be made in accordance with the relevant laws. Deutsche Messe is liable for any breach material contractual duties or obligations, means by gross negligence or intentional misconduct or ordinary negligence. In the case of breach by ordinary negligence the liability of Deutsche Messe is limited to losses which are typical for the type of contract and which are reasonably foreseeable. In such cases, all other claims are expressly excluded.

    In all other respects, Deutsche Messe is liable in the manner and to the extent provided by statute.

Insurance
  1. Business liability insurance (Betriebshaftpflichtversicherung)
    The Lessee is required under clause 4 of the section on "Order placement/contract formation/conditions precedent" above to take out and/or confirm that he has in place business liability insurance (Betriebshaftpflichtversicherung).

  2. Comprehensive insurance (Maschinen- und Kaskoversicherung)
    The rental fee includes comprehensive insurance (Maschinen- und Kaskoversicherung) based on Germany's General Terms and Conditions of Machinery and Hull Insurance for Mobile and Transportable Equipment (ABMG) which provides cover for damage to and loss of the hired Access Equipment. The insurance includes cover for losses arising from theft, robbery and burglary. The policy provides for a deductible of € 2,500 per loss event to be paid by the Lessee in each case.

Pricing terms for category Lifting platforms

Unless otherwise stated, prices are net prices plus statutory VAT.

Only the prices shown on the order form or order screen on the day of the order apply. These are also listed in the confirmation of receipt of the order, which the exhibitor automatically receives immediately after placing his order.

  1. The prices are per-item rental fees for equipment-only hire. They do not include operating personnel, business liability insurance (see clause 4 under "Order placement/contract formation/conditions precedent" above), fuel or energy consumption). Comprehensive insurance cover for the Access Equipment itself is included in the rental (see clause 2 under "Insurance" below). Unless agreed otherwise, the per-item rental fees are for a maximum of nine hours of operation per calendar day. Two- or multiple-shift operation of hired Access Equipment is permissible only by prior arrangement with the service partner and requires the service partner's written consent.
  2. Deutsche Messe will bill the Lessee for all amounts payable in respect of Access Equipment hire as part of its invoice for trade-fair-related services.
  3. All stated rental fees are chargeable in full per full or part calendar day of the actual rental period.
  4. The costs of delivery and pick-up will be charged separately for each item of Access Equipment at the flat rates stated on the order form. The only exception to this is where two or more 6 m manual load lifters are ordered. These types of lift can be transported in pairs and thus attract only one delivery/pick-up charge per two units.

Cancellation terms for category Lifting platforms

  1. The Lessee can cancel an Access Equipment hire contract without incurring any costs, provided that cancelation takes place at least seven days before the start of the rental period.
  2. Cancellations received after that time are liable for the full rental fee. This will include delivery and pick-up charges if the Access Equipment has already been delivered, irrespective of whether an actual handover has taken place.
  3. Cancellations received later than the cut-off point specified in clause 1 of this section but before the Access Equipment has actually been delivered are liable only for the rental fee excluding delivery and pick-up charges.
  4. If the person(s) designated by the Lessee to take delivery of the Access Equipment and receive training in its use are not physically present at the handover and, further, if no other representative of the Lessee who meets the requirements for receiving training in the use of the Access Equipment as set out in clauses 9 to 11 of the Specific Access Equipment Hire Conditions is ready to receive training and present at the handover, then Deutsche Messe will be entitled to cancel the contract and claim 100% of the rental fee plus the associated delivery and pick-up charges as liquidated damages.
  5. However, the Lessee may pay a reduced amount of damages if and to the extent that he can prove that the loss actually suffered by Deutsche Messe is less than the liquidated damages claimed.
